Terms of Use

These Terms apply to the Eliza website at eliza.tools, the Eliza desktop client, account APIs, licenses, and related online services (together, the “Service”).

1. Scope and acceptance

By creating an account, installing the client, validating a license, or otherwise using the Service, you agree to these Terms and to our Privacy Notice and Refund Policy. If you do not agree, do not use the Service.

You must be at least 18 years old and able to form a binding contract. If you use Eliza on behalf of an organization, you confirm that you are authorized to bind that organization, and “you” includes that organization.

2. What Eliza is

Eliza is a privacy-oriented browser product and supporting cloud account layer. The desktop client is designed around native WebKit-class browser technology and configurable browsing profiles. The cloud layer stores account credentials, license state, and encrypted profile payloads so you can sync or restore configuration across allowed devices.

Eliza is a productivity and privacy tool. You remain solely responsible for how you use it, including compliance with the laws and platform rules that apply to your activities.

3. Accounts, authentication, and devices

You must provide accurate registration details and keep your credentials confidential. Password material is stored using modern one-way hashing (Argon2id). Optional multi-factor authentication may be offered; if you enable it, you are responsible for retaining recovery factors.

Licenses may be bound to a device identifier. Moving a license to another machine, or using automation to circumvent device limits, may require a reset through support and can be refused if we detect abuse.

Disposable or throwaway email addresses may be rejected at signup or later. Creating parallel accounts primarily to stack free trials, evade enforcement, or multiply promotional entitlements is prohibited and may result in immediate closure of the related accounts.

4. Licenses and paid access

Paid features are granted under a time-limited license, not sold as ownership of the software. Plan limits (seats, devices, profile quotas, or feature gates) are described at purchase or in the product UI and form part of your agreement.

Unless a written order says otherwise, licenses are non-transferable and may not be resold, rented, or pooled as a shared commercial service for unrelated third parties.

Billing disputes and refunds are handled under the Refund Policy.

5. Client software license

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-sublicensable right to install and run the Eliza client on devices you control, solely to access the Service for your own lawful purposes.

You may not: reverse engineer the client except where mandatory law forbids that restriction; remove proprietary notices; bypass license checks, device binding, or security controls; or redistribute builds, keys, or internal APIs.

The client may check license validity with our API and may refuse to run protected features if validation fails, the plan expires, or the device binding does not match.

6. Acceptable use

You agree not to:

  • attack, probe, overload, or disrupt Eliza infrastructure, other users, or third-party systems;
  • attempt to access another person’s account, profiles, or license;
  • use the Service to commit fraud, distribute malware, or violate applicable criminal law;
  • misrepresent affiliation with Eliza or forge communications that appear to come from us;
  • scrape or harvest the Service in a way that impairs availability or violates rate limits.

We may investigate suspected abuse and cooperate with lawful requests from competent authorities when legally required.

7. Your data and profiles

Profile configuration and related secrets that you choose to sync are stored for the purpose of providing the Service. Sensitive profile fields are encrypted at rest (AES-256-GCM) before persistence. You retain ownership of your content; you grant us only the rights needed to host, transmit, back up, and restore it as part of operating Eliza.

You are responsible for exporting or backing up anything you cannot afford to lose. We take commercially reasonable precautions, but no online service guarantees perfect durability or confidentiality against every threat.

8. Availability, changes, and beta features

We aim for reliable uptime but do not promise uninterrupted access. Maintenance, network issues, upstream providers, or force majeure events may cause downtime.

We may add, change, or retire features. Preview or beta capabilities may be unstable and can be withdrawn without notice. Where a change materially reduces a paid entitlement mid-cycle, we will describe available remedies in product communications or under the Refund Policy.

9. Intellectual property

Eliza branding, UI, documentation, and our proprietary code remain ours (or our licensors’). Open-source components included in the client or website remain subject to their own licenses. Feedback you send us may be used to improve the Service without obligation to you.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE ERROR-FREE, OR THAT FINGERPRINT OR PRIVACY OUTCOMES WILL BE IDENTICAL ACROSS ALL SITES OR ENVIRONMENTS.

11. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising from your use of the Service.

Except where liability cannot be limited (for example, death or personal injury caused by negligence, or fraud), our aggregate liability for claims relating to the Service in any twelve-month period is limited to the amounts you paid us for the Service in that same period.

12. Suspension and ending access

We may suspend or terminate access if you breach these Terms, if required by law, or if needed to protect the Service or other users. You may stop using Eliza at any time and may request account closure through the contact below. Provisions that by nature should survive (including intellectual property, disclaimers, and liability limits) continue after termination.

13. Changes to these Terms

We may update these Terms from time to time. For material changes affecting paid users, we will provide reasonable notice via the website, in-product notice, or email where we have a working address on file. Continued use of the Service after changes take effect constitutes acceptance, except where mandatory law requires a different process.

14. Governing law

These Terms are governed by applicable law, without regard to conflict-of-law rules, except that consumers may retain mandatory protections of their country of residence where those protections cannot be waived.
